Terms of business.

Scope

These terms govern engagements between Levicorpus, SE and qualified institutional clients for the supply of certified ultra-high-purity metals. Each engagement is also governed by a written specification signed by both parties and prevails over these general terms in case of conflict.

Engagement

We engage by referral or institutional introduction. We do not engage with retail buyers. The first substantive correspondence is sent under a mutual non-disclosure agreement, and engagement begins only when a written specification has been signed.

Written specification

Each engagement is preceded by a written specification of material, form, mass and intended use. The specification governs the engagement and is the principal contractual document.

KYC and AML

We complete know-your-client and anti-money-laundering procedures before drafting a specification. The procedures include beneficial owner identification, source-of-funds review and sanctions screening against the EU consolidated list. We may decline an engagement at our discretion where these procedures are not satisfactorily completed.

Certification

Each consignment is accompanied by a composition certificate signed by Institut für Seltene Erden in Lucerne, a Swiss laboratory regulatory-independent of the firm. We may not contest an analytical finding of the institute. A lot that fails certification is not despatched.

Delivery

Lead time from signed specification to despatch is typically four to six weeks. Delivery is by insured carrier under documented chain of custody. Risk passes to the client on collection by the carrier at our facility. Title passes on receipt of payment.

Price and payment

Price is agreed in writing per engagement; we do not publish a price list. Payment terms are stated in the specification and are typically net thirty days from despatch against invoice. Late payment carries the statutory rate under Czech law.

Warranty

We warrant that each consignment meets the composition stated on the certificate signed by Institut für Seltene Erden. We provide no warranty of fitness for any particular purpose beyond the composition and form stated in the specification. The certificate is the operative document.

Confidentiality

The identity of our clients, the substance of their specifications and the terms of their engagement are confidential. We do not publish, share or refer to client identities without written consent. Confidentiality survives termination of the engagement indefinitely.

Force majeure

Neither party is liable for failure to perform under these terms where performance is prevented by an event beyond reasonable control, including export controls, sanctions, regulatory action, or interruption of certification capacity at the partner laboratory.

Governing law and jurisdiction

These terms are governed by Czech law. Any dispute is subject to the exclusive jurisdiction of the Czech courts.
